The Concept of the Legal Status of Ineffectiveness in Contracts

Ineffectiveness, as a characteristic of an ineffective contract and as a civil-law sanction, has not been defined by statute. This absence of a statutory definition, coupled with the jurisprudential background of the concept, has created ambiguity regarding its precise meaning. The present study aims to identify accurately the concept and legal status of ineffectiveness in contracts. This study employs a descriptive-analytical method. The materials and data are qualitative, and note-taking was used to collect the relevant information and data. The findings indicate that, contrary to the prevailing understanding, the legal status of ineffectiveness is not limited to the category of suspended ineffectiveness; rather, both Imami jurisprudence and Iranian law recognize another form of ineffectiveness. Moreover, this broader scope also affects the technical meaning of ineffectiveness. It may therefore be concluded that the nature of ineffectiveness in the Iranian legal system can be understood in three senses. First, ineffectiveness in its broad sense encompasses both nullity and ineffectiveness in its technical sense. Second, ineffectiveness in its specific sense includes both suspended ineffectiveness and contingent ineffectiveness. Third, ineffectiveness also has a narrower sense, in which it refers exclusively to its most commonly recognized form, namely suspended ineffectiveness.
