This study aims to analyze the role of the principles of independence and unconditionality in improving the enforcement of bank guarantees within the Iranian legal system. The principal research question is: How can the principles of independence and unconditionality enhance the efficiency and transparency of bank guarantees in Iran? The research hypothesis is based on the premise that alignment with international standards, the development of digital technologies, and the reform of judicial practices can strengthen these principles and mitigate existing challenges, including sanctions and inconsistencies in judicial practice. The study employs a descriptive-analytical method and examines the issues through an analysis of judicial practices, actual cases, and a comparative assessment of advanced legal systems. The findings indicate that the principle of independence, by restricting examination to the documents presented, prevents interference with the underlying contract and reduces legal disputes, as illustrated by a case in Tehran in 2024–2025 in which the execution period was reduced to 48 hours. The principle of unconditionality likewise enhances transparency and the speed of enforcement by emphasizing unconditional terms, as demonstrated by an export guarantee issued in 2024–2025 that strengthened the confidence of the foreign beneficiary. Modern technologies, such as blockchain and artificial intelligence, reinforce these principles and reduce costs; however, the absence of legislation governing digital processes and inconsistencies in judicial practice constitute serious obstacles. The study concludes that legal reforms, judicial training, and the development of digital infrastructure can improve the efficiency of bank guarantees and strengthen Iran’s position in international trade.</p> <p>ضمانت‌نامه‌های بانکی به‌عنوان ابزاری کلیدی در معاملات تجاری و پروژه‌های عمرانی، نقش مهمی در تضمین تعهدات و کاهش ریسک‌های مالی ایفا می‌کنند. این پژوهش با هدف تحلیل نقش اصول استقلال و تنجیز در بهبود اجرای ضمانت‌نامه‌های بانکی در نظام حقوقی ایران انجام شده است. سوال اصلی پژوهش این است که چگونه اصول استقلال و تنجیز می‌توانند کارایی و شفافیت ضمانت‌نامه‌های بانکی را در ایران افزایش دهند؟ فرضیه پژوهش بر این مبنا است که هماهنگی با استانداردهای بین‌المللی، توسعه فناوری‌های دیجیتال، و اصلاح رویه‌های قضایی می‌توانند این اصول را تقویت کرده و چالش‌های موجود، مانند تحریم‌ها و ناهماهنگی‌های قضایی، را کاهش دهند. روش پژوهش توصیفی-تحلیلی بوده و با بررسی رویه‌های قضایی، پرونده‌های واقعی، و مقایسه تطبیقی با نظام‌های حقوقی پیشرفته، به تحلیل مسائل پرداخته است. نتایج نشان می‌دهد که اصل استقلال با محدود کردن بررسی به اسناد، از دخالت در قرارداد پایه جلوگیری کرده و دعاوی حقوقی را کاهش می‌دهد، مانند پرونده‌ای در تهران در سال 1403 که زمان اجرا را به 48 ساعت کاهش داد. اصل تنجیز نیز با تأکید بر شروط غیرمشروط، شفافیت و سرعت اجرا را افزایش می‌دهد، مانند ضمانت‌نامه صادراتی در سال 1403 که اعتماد ذی‌نفع خارجی را تقویت کرد. فناوری‌های نوین، مانند بلاک‌چین و هوش مصنوعی، این اصول را تقویت کرده و هزینه‌ها را کاهش می‌دهند، اما فقدان قوانین دیجیتال و ناهماهنگی‌های قضایی، موانعی جدی هستند. نتیجه‌گیری پژوهش تأکید دارد که اصلاح قوانین، آموزش قضات، و توسعه زیرساخت‌های دیجیتال می‌توانند کارایی ضمانت‌نامه‌ها را بهبود بخشیده و جایگاه ایران را در تجارت جهانی تقویت کنند. </p> https://jecjl.com/index.php/jecjl/article/download/726/471
