Journal Article 1404/02/04 In order to advance and harmonize buyback contracts and oil and gas agreements, numerous laws and regulations have been enacted to standardize these contracts. Among them are buyback contracts and the new model of oil contracts ratified in 2015, which incorporate various legal principles and rules. These principles include the principle of contractual freedom, the principle of good faith, the principle of trust and confidentiality of information, the principle of contractual relativity, the principle of contractual binding force, the principle of the necessity of attracting foreign investment in the oil and gas industry, the principle of host-state sovereignty over natural resources and its expansion, the principle of sovereignty over natural resources and the stabilization clause in petroleum contracts, along with dozens of other principles that can be examined within buyback contracts and the new oil contract models. Consequently, buyback contracts outline the general principles of petroleum agreements, whereas the new petroleum contract models introduce a different approach, emphasizing principles such as the optimal increase of oil and natural gas production capacity—particularly in joint fields—and the integrated implementation of exploration, appraisal, development, production, and operation projects throughout the entire life cycle of the field. Therefore, the present article, using a descriptive-analytical method, aims to examine the foundational principles governing buyback contracts in the oil and gas sector with a particular emphasis on the new petroleum models. The findings indicate that the foundational principles governing buyback contracts in the oil and gas sector are rooted in the goal of standardizing and harmonizing this type of contract. در جهت پیشبرد و هماهنگ سازی قراردادهای بیع متقابل و قراردادهای نفت و گاز، قوانین و مقررات بسیاری در جهت یکسان سازی قراردادها مصوب گردیده است که از جمله آنها، می‌توان به قراردادهای بیع متقابل و الگوهای جدید قراردادهای نفتی مصوب 1394 اشاره نمود که اصول و قواعد حقوقی بسیاری را به خود دیده است؛ از جمله این اصول را می‌توان اصل آزادی قراردادی، اصل حسن نیت، اصل اعتماد و محرمانه بودن اطلاعات، اصل نسبیت قراردادی، اصل لزوم قراردادی، اصل لزوم جلب سرمایه گذاری خارجی در صنعت نفت و گاز، اصل حاکمیت دولت میزبان بر منابع طبیعی و گسترش آن، اصل حاکمیت بر منابع طبیعی و شرط ثبات در قراردادهای نفتی و ده‌ها اصول را در این زمینه در قراردادهای بیع متقابل و الگوهای جدید قراردادهای نفتی مورد مطالعه قرار داد. در نتیجه قراردادهای بیع متقابل اصول کلی قراردادهای نفتی را ارائه می‌دهند که این موضوع در الگوهای جدید قراردادهای نفتی به گونه ای دیگر است و اصولی همچون افزایش بهینه ظرفیت‌های تولید نفت و گاز طبیعی به ویژه در میادین مشترك، اجرای طرح‌های اكتشاف، توصیف، توسعه، تولید و بهره برداری به صورت یكپارچه و برای طول عمر میدان مورد مطالعه و پیش بینی قرار گرفته است. از این رو در مقاله حاضر با هدف بررسی مبنای اصولی حاکم بر قراردادهای بیع متقابل در زمینه نفت و گاز با نگاهی بر الگوهای جدید نفتی با روش توصیفی و تحلیلی پرداخته شده است. در نتیجه به عنوان یافته می‌توان عنوان داشت که مبنای اصولی حاکم بر قراردادهای بیع متقابل در زمینه نفت و گاز، در جهت یکسان سازی و هماهنگ سازی این نوع قراردادها استوار است.
